Terms of Service

Welcome to Refine, an AWS cost optimization service operated by HabileLabs Pvt. Ltd. ("HabileLabs", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Refine website and service at refine.habilelabs.io (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Refine analyzes your AWS cost and usage data to provide cost optimization recommendations, security findings, anomaly detection, and related dashboards and reports. The Service is currently provided free of charge; we may introduce paid tiers in the future, and we will communicate pricing and terms before any paid tier applies to you. The free tier is provided without a service level agreement (SLA). Features described as "coming soon" or "on roadmap" are not part of the Service until they are released.

2. Accounts and Acceptable Use

You must provide accurate registration information and keep your account credentials secure. You are responsible for all activity that occurs under your account, and you must notify us promptly of any unauthorized use. You may only connect AWS accounts, or upload billing data, that you own or are authorized to manage.

When using the Service, you agree not to:

• Use the Service in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to the Service, other customers' data, or our infrastructure;
• Probe, scan, or test the vulnerability of the Service without our prior written consent;
• Interfere with or disrupt the integrity or performance of the Service;
• Resell, sublicense, or provide the Service to third parties except as expressly permitted by us.

3. Access Models: Connect AWS and Upload Bill

The Service offers two ways to analyze your AWS spend:

• Connect AWS. You grant Refine a read-only IAM role in your AWS account. Refine uses this role solely to read cost, usage, and configuration metadata needed to provide the Service. Refine never holds your AWS credentials, and the baseline role cannot modify resources in your account. If you choose to apply remediations through Refine, you may grant optional, narrowly scoped write permissions on an opt-in basis per remediation type; these are never included in the baseline role. You may revoke the IAM role, or any scoped permissions, at any time from your AWS console, which immediately ends Refine's access.
• Upload Bill. You upload an AWS bill or Cost and Usage Report for a one-off analysis. The uploaded file is deleted after the analysis completes; only the resulting analysis is retained, subject to the retention terms below.

4. Customer Data and Retention

You retain all rights to the data you provide to the Service, including AWS billing data, usage data, and account metadata ("Customer Data"). We process Customer Data only to provide and improve the Service, as described in our Privacy Policy and Data Processing Agreement. Customer Data is retained for 90 days (configurable) by default; you can adjust the retention period in your account settings. Uploaded bill files are deleted after analysis as described in Section 3.

5. Free Service; Disclaimer of Warranties

The Service is currently provided free of charge and on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that recommendations will achieve any particular level of cost savings.

6. Limitation of Liability

To the maximum extent permitted by applicable law, HabileLabs and its suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages. Because the Service is provided free of charge, our aggregate liability for all claims relating to the Service shall not exceed INR 10,000. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

7. AI-Generated Content

Parts of the Service, including narrative reports, are generated using generative AI. AI-generated output may contain errors or omissions and is provided for informational purposes only. It does not constitute financial, legal, security, or other professional advice. You are responsible for validating recommendations before acting on them, particularly before making changes to production AWS environments. Our AI sub-processors are disclosed on our sub-processor list.

8. Intellectual Property

You retain all rights, title, and interest in your Customer Data. HabileLabs retains all rights, title, and interest in the Service, including its software, dashboards, documentation, and branding. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You grant us a limited license to process Customer Data solely to provide the Service.

9. Termination

You may stop using the Service and delete your account at any time. Revoking the IAM role ends our access to your AWS account immediately. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service, in which case we will make reasonable efforts to provide advance notice. On termination, Customer Data is deleted in accordance with the retention terms in Section 4 and our Data Processing Agreement.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice within the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. The "Last updated" date at the top of this page reflects the most recent revision.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to applicable law, the courts in Jaipur, Rajasthan, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
