Terms of Service

Welcome to Refine, an AWS cost optimization service operated by HabileLabs Pvt. Ltd. ("HabileLabs", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Refine website and service at refine.habilelabs.io (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Refine analyzes your AWS cost and usage data to provide cost optimization recommendations, security findings, anomaly detection, and related dashboards and reports. The Service is offered on a free plan and on paid plans, described in Section 6 and at refine.habilelabs.io/pricing. Unless we have agreed a service level agreement (SLA) with you in a separate signed document, the Service is provided without an SLA. Features described as "coming soon" or "on roadmap" are not part of the Service until they are released.

2. Accounts and Acceptable Use

You must provide accurate registration information and keep your account credentials secure. You are responsible for all activity that occurs under your account, and you must notify us promptly of any unauthorized use. You may only connect AWS accounts, or upload billing data, that you own or are authorized to manage.

When using the Service, you agree not to:

• Use the Service in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to the Service, other customers' data, or our infrastructure;
• Probe, scan, or test the vulnerability of the Service without our prior written consent;
• Interfere with or disrupt the integrity or performance of the Service;
• Resell, sublicense, or provide the Service to third parties except as expressly permitted by us.

3. Access Models: Connect AWS and Upload Bill

The Service offers two ways to analyze your AWS spend:

• Connect AWS. You create, from our CloudFormation template, a read-only IAM role in your AWS account that only Refine's AWS account can assume, with the External ID generated for your connection. If you connected before IAM roles were available, you provided Refine an access key instead, which is encrypted before it reaches us and stored only in that encrypted form. Refine uses this access solely to read cost, usage, and configuration metadata needed to provide the Service; it cannot modify resources in your account. Refine does not request, and the Service does not use, write access to your account: recommendations and security findings come with the steps to act on them, and any change is made by you, with your own credentials. You may revoke Refine's access at any time by deleting the IAM role (or, for an earlier connection, the access key) in your AWS console, which immediately ends it.
• Upload Bill. You upload an AWS bill or Cost and Usage Report for a one-off analysis. The uploaded file is retained for 3 days and then deleted automatically; only the resulting analysis is retained, subject to the retention terms below.

4. Customer Data and Retention

You retain all rights to the data you provide to the Service, including AWS billing data, usage data, and account metadata ("Customer Data"). We process Customer Data only to provide and improve the Service, as described in our Privacy Policy and Data Processing Agreement. Customer Data is retained for as long as your account is active. You may delete it at any time from within the Service, or request deletion in writing. Alerts and notifications are deleted automatically after 90 days. Uploaded bill files are deleted automatically 3 days after upload, as described in Section 3.

5. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that recommendations will achieve any particular level of cost savings. This applies to the free plan and to paid plans alike, except where we have agreed otherwise with you in a separate signed document.

6. Plans and Fees

The Service is offered on a free plan and on paid plans. The plans, what each includes, and the fees that apply are described at refine.habilelabs.io/pricing. The free plan requires no payment and no payment method.

Paid plans are arranged with our team rather than purchased through the Service: there is no self-serve checkout, and no fee becomes payable by you unless and until we have agreed it with you in writing. That agreement sets the fee, the billing frequency and the payment terms for your workspace. We activate a paid plan for your workspace once those terms are agreed. If we change the fees for a plan, the change does not apply to you until we have agreed it with you in writing.

Paid features are enabled per workspace. If an agreed fee is not paid, we may suspend paid features for that workspace after giving you notice and a reasonable opportunity to pay; your data and the free plan remain available to you, and Section 10 continues to govern termination and deletion.

7. Limitation of Liability

To the maximum extent permitted by applicable law, HabileLabs and its suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages. Our aggregate liability for all claims relating to the Service shall not exceed the greater of (a) the fees you paid us for the Service in the twelve months immediately preceding the event giving rise to the claim, and (b) INR 10,000. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

8. AI-Generated Content

Parts of the Service, including narrative reports, are generated using generative AI. AI-generated output may contain errors or omissions and is provided for informational purposes only. It does not constitute financial, legal, security, or other professional advice. You are responsible for validating recommendations before acting on them, particularly before making changes to production AWS environments. Our AI sub-processors are disclosed on our sub-processor list.

9. Intellectual Property

You retain all rights, title, and interest in your Customer Data. HabileLabs retains all rights, title, and interest in the Service, including its software, dashboards, documentation, and branding. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You grant us a limited license to process Customer Data solely to provide the Service.

10. Termination

You may stop using the Service and delete your account at any time. Deleting the connector IAM role (or an earlier connection's access key) ends our access to your AWS account immediately. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service, in which case we will make reasonable efforts to provide advance notice. On termination, Customer Data is deleted in accordance with the retention terms in Section 4 and our Data Processing Agreement.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice within the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. The "Last updated" date at the top of this page reflects the most recent revision.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Subject to applicable law, the courts in Jaipur, Rajasthan, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
